THE BOARD OF DIRECTORS

The Articles of Association allow for the HRA to engage ‘agents’ to carry out the objects of the Company. The agents are now commonly referred to as the Board of Directors, or the Committee. These are all volunteer residents and are responsible for managing the Association.

The Committee also has volunteers who, although not directors of the Association, may attend meetings to assist with some of the tasks. These individuals do not have voting rights at the meeting.

RESPONSIBILITIES

HRA directors are required to deal with all aspects of managing the common areas of the estate. The over-riding obligation is that directors act in the best interests of the Association.

The HRA board of directors is collectively responsible for the success of the Association and they all share in that responsibility. Directors should be expected to attend board meetings, ensure that they are fully briefed, and devote sufficient time to the role. The Committee meets formally, usually once a month to discuss HRA business (normally in one of the Directors houses). The task is not onerous or difficult and mainly involves helping out with any administration or practical task that may be required and/or assisting with any other minor issues that arise. They have a say in the running of the estate. The Board includes directors with various specified roles.

The primary responsibilities of the Association are:

  • Maintenance; repair upkeep of communal land and assets on the estate
  • Financial records; managing annual expenditure and income in conjunction with our appointed accountants
  • Providing for the future; making the best of HRA funds and ringfencing monies for long term projects as well as unexpected problems
  • Filing of legal annual returns for accounts and shareholder information at Companies House
  • Ensuring the correct practice in dealing with the legal recording of information during conveyancing of houses bought/sold
  • Dealing with correspondence from shareholders and other persons
  • Organising meetings with shareholders and residents
  • Providing Public Liability Insurance cover
  • Addressing other associated administrative actions

The Board of Directors are always seeking to recruit residents to help out in this very important and crucial role. Any shareholder or resident ( if not a shareholder), can join and help promote, develop and plan the future of Heathfield.
